Dorsey & Whitney LLP is seeking a Corporate Associate with two to four years of experience to join our Dallas office. This associate will have the opportunity to work on a wide variety of corporate transactions, including: corporation, limited liability company and limited partnership formation; conducting due diligence on behalf of buyers, sellers, institutional investors, and/or lenders; organizing and managing transaction closings; drafting and negotiating escrow agreements, transition services agreements, employment agreements, private company incentive plans, closing certificates, and resolutions, purchase agreements for private company M&A transactions, documentation for private placements of securities, multi-party LLC and LP agreements, and documentation for issuance of warrants and/or preferred stock.
Qualified candidates will have:
– Two to four years of corporate and transactional experience (primarily in private equity industry);
– Experience working with private credit, direct lending, mezzanine and/or SBIC funds, private equity funds, and other institutional investors;
– Experience working in the M&A, private equity, or business/corporate group of a large (AmLaw 200) law firm;
– Strong organizational, drafting and communication skills; and
– Top academic credentials.
Experience representing private credit funds, mezzanine funds, insurance companies, family offices and/or high net worth in investors in connection with minority equity investments highly preferred.
Texas bar admission and Tax LL.M. or MBA degrees preferred.
