Litigation & Corporate Counsel
RSG Group USA Inc. is seeking Litigation and Corporate Counsel to join the legal team. This position will report to the Vice President and General Counsel and will have broad responsibility for assisting with litigation and providing general operations support for Gold’s Gym and other RSG Group brands.
Position Functions Include:
Litigation Duties
Assist in managing litigation, investigations, and on the strategy and resolution of cases
Handle litigation and dispute related issues not requiring assistance of outside counsel
Conduct legal research and analysis of statutes, case law, and regulatory materials
Manage discovery, including drafting, reviewing and revising discovery requests and responses, conducting interviews, and gathering/reviewing information and documents
Provide support and legal guidance on disputes or threatened legal actions
Draft, review and revise motions, briefs, and pleadings
Draft legal correspondence, including legal holds, notices, demand letters, demands for indemnification, and responses to consumer and agency complaints and inquiries
Advise management to help ensure operations comply with laws and other regulatory provisions and contractual obligations
Assist paralegal with subpoena processing and responses
Work closely with and manage outside counsel and legal budget
Corporate Generalist Duties
Draft and negotiate contracts and assist with varied commercial transactions
Provide general legal support and counseling to company’s management and employees
Assist in design and implementation of company policies and practices
Develop and implement legal templates, forms, communications and operational systems
Work closely with business partners to enable implementation of plans and goals
Analyze legal and business risks and recommend business appropriate solutions
Ensure company compliance with new and existing regulations applicable to company’s business
Draft appropriate documentation for transfers of ownership interests, assignments, etc.
Assist in preparation of periodic and annual reporting, filings, and disclosures
Assist in management of intellectual property portfolio
Track and manage outside counsel legal work and budget
KNOWLEDGE, SKILLS, AND ABILITIES:
Juris Doctorate degree & Member of State Bar (Texas or California preferred) in good standing
5-10 years of litigation experience with top law firm or in-house legal department
Strong fact-finding, writing, negotiating and research skills
Superb persuasive writer, with excellent communication and analytical skills
Strategic and creative thinker with impeccable attention to detail, and strong sense of ownership and accountability
Ability to prioritize, manage multiple matters and deadlines simultaneously, and deliver high-quality work in a fast-paced environment
Initiative to problem solve and expand areas of legal expertise
Strategic and creative thinker with ability to work independently with minimal supervision
Experience with licensing and/or franchising a plus but not required
