Description of Role:
The Senior Counsel, M&A will report to the Assistant General Counsel, M&A and Strategy and will assist the Legal Department in its full spectrum of legal M&A and other strategic acquisition related activities. This is a rare and unique opportunity to join one of the fastest growing companies in the U.S. and play a key role in helping Integrity execute on its strategic vision. This attorney will interact with high-level executives, and outside counsel and have a front row seat to more strategic deals in the next few years than most attorneys manage in their entire careers.
This position will collaborate effectively across the company to help the business identify and implement practical business solutions to achieve its goals. The Senior Counsel, M&A will be highly organized, business-practical, and able to confidently work on an independent and collaborative basis. In addition, the successful candidate will be solution driven, highly service-oriented, pragmatic and proactive in their approach. In connection with their work, this person will identify new and improved business solutions and processes for the company regarding a wide variety of matters.

Experience:
The successful candidate will have 4+ years of M&A transactional legal experience gained in a law firm and/or in-house setting. Law firm experience specializing in M&A transactions is preferred.

Description of Role:
Working with internal deal team and Assistant General Counsel, M&A and Strategy and advising in M&A activities globally in a substantive fashion without extensive supervision.
Handling multiple deals simultaneously
Managing outside counsel
Working closely with internal teams including internal deal/strategy team, integration, finance, legal and compliance, people & culture, in all stages of acquisitions, including structuring transactions, drafting term sheets/letters of intent, NDAs, and other preliminary documentation, managing deal processes, performing and oversight of due diligence, negotiating definitive documentation, assisting on regulatory filings, closing deals and helping to execute “warm hand-off” of deals to internal teams
Leading legal strategy on multiple acquisitions
Driving continuous improvements, scalability and operational excellence in deal processes and execution
Assisting members of the strategic transactions legal team on other high priority tasks and matters
Required Skills and Qualifications:
JD from an accredited law school with exceptional academic credentials.
Licensed in at least one other state in good standing and submit an application to the Texas State Bar for admittance.
At least 4-5 years of legal experience primarily in M&A at a top law firm and/or in-house
Highly responsive and service-oriented attitude
Extremely organized and process-oriented, with the ability to juggle multiple transactions and manage the transaction from start to finish
Ability to work under pressure, prioritize, and manage workloads to meet deadlines in a challenging and fast-paced environment
Excellent legal and business judgment
Experience independently negotiating complex business transactions
Demonstrated capacity to actively solve complicated legal and business problems
Fantastic communication and interpersonal skills; experience and comfort working with and advising business internal clients directly
Team player who is proactive and business-practical, and can effectively engage with other members of the legal department and other functional groups
Flexibility to assist the legal department in its activities and its mission as needs arise
